The plan allows them to issue and sell new shares if his stake gets above 15%

It both allows them to bleed him as well as make it harder to obtain a controlling interest

If I were gifted a couple hundred thousand (or million?) dollars by an anonymous donor, I would purchase Twitter stock and donate it to Musk or at least give him 100% control of it.
